Terms & Conditions for the Pilot Study

Kite Health, Inc. — Terms and Conditions (Pediatric Metabolic Pilot Study Program)

1. Acceptance of These Terms

These Terms and Conditions ("Terms") are a legalagreement between you and Kite Health, Inc., a Delaware corporation with aprincipal place of business at 425 Page Mill Road, 2nd Floor, Palo Alto, CA94306 ("Kite Health," "Kite," "we,""us," or "our"). These Terms govern your access to and useof the Kite Health web platform (the "Platform") in connection with the pediatric metabolic pilot study described in Protocol KITE-01 (the "PilotStudy" or "Pilot"), sponsored by Kite Health and reviewed by Sabai IRB.

These Terms apply only to the Pilot Study described above. They are not the general terms of use for any future commercial version of the Kite Health platform, and they should be replaced or supplemented with commercial terms before any public or paid launch.

By creating an account, completing onboarding, or otherwise using the Platform in connection with the Pilot, you agree to be bound by these Terms. If you do not agree, do not create an account or use the Platform. Only a parent or legal guardian who is at least 18 years old may create an account, enroll a child, and accept these Terms; children do not create their own accounts or independently accept these Terms (see Section 12).

2. Relationship to the Informed Consent Form and Assent Script

Your and your child's participation in the Pilot Study's research activities — including the collection of organic acids test ("OAT") results, symptom and clinical history data, survey responses, and interview recordings — is governed primarily by the Kite Health Informed Consent Form that you sign electronically on the Platform, and, for children ages 7–17, the assent process described in the Assent Script and confirmed by you on the Platform. Those documents describe the research purpose, procedures, risks, benefits, and your right to withdraw.

These Terms govern your use of the Platform itself — your account, the technology, ordering and results delivery, ownership of content, and similar operational matters. Where these Terms and the Informed Consent Form conflict on a matter of research participation, the Informed Consent Form (as approved by Sabai IRB) controls. Where they conflict on a matter of Platform use unrelated to the research itself, these Terms control.

3. What Kite Health Is — and Is Not

Kite Health is a technology company. Through the Platform, Kite Health operates as: (a) a health education platform providing plain-language information about metabolic health and organic acids testing; (b) a wellness platform providing dashboards and educational pathway scores; and (c) a laboratory marketplace that lets you order a third-party organic acids test and receive results through the Platform.

Kite Health is not a healthcare provider, is not a laboratory, does not employ physicians, and does not bill insurance. Kite Health does not practice medicine. All OAT testing is ordered and performed by independent, CLIA-certified laboratory partners (currently MosaicDX and US BioTek) under the sign-off of that laboratory's own physician of record, not a Kite Health physician. Kite Health's clinical advisors (including Jenna Arruda, MD) provide clinical oversight of how information is presented on the Platform, but reviewing or using the Platform does not create a doctor-patient relationship between you, your child, and Kite Health or its advisors.

3.1 Medical Disclaimers

You understand and agree that:

  • Kite Health is not practicing medicine and the Platform does not provide medical care.
  • Nothing on the Platform, including OAT results, pathway scores, or AI-generated summaries and action plans, replaces the advice, diagnosis, or treatment of a qualified physician or other licensed healthcare provider.
  • The Platform is not intended for use in a medical emergency and does not provide emergency services. If you believe your child is experiencing a medical emergency, call 911 (or your local emergency number) or go to the nearest emergency room.
  • The Platform, the OAT test, and any related content do not diagnose autism spectrum disorder (ASD), any other condition, or the cause of any condition, and are not intended to do so.
  • Kite Health makes no guarantee regarding the outcome, accuracy, completeness, or clinical usefulness of any test result or score, or that participation in the Pilot will lead to any particular health outcome.
  • You should discuss your child's OAT results, and any educational information generated through the Platform, with your child's physician or other qualified healthcare provider before making any changes to your child's care, diet, supplements, or medications. Kite Health does not instruct participants to modify any prescribed medication.

4. Eligibility and Accounts

To participate in the Pilot and use the Platform you must be: (a) a parent or legal guardian, age 18 or older, residing with the child(ren) you enroll; (b) enrolling at least one child age 0–17 with adocumented ASD diagnosis, and, optionally, one sibling age 0–17 (maximum twochildren per family); (c) a resident of the United States, in a state where an approved laboratory partner is able to fulfill your order; and (d) able to readand understand the consent and platform materials, which are provided in English.

You must create a Platform account before placing an order, but you cannot place an order or enroll a child without an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate information during onboarding, including your child's age, diagnosis information, and household information.

You may request deletion of your account at any time by emailing contact@kitehealth.com. You may download your account and activity data (based on the Platform's audit log) and export your child's test results directly through the Platform.

5. No Cost to You; No Compensation; No Insurance Billing

There is no fee to enroll in the Pilot and no monetary compensation for participation. The OAT test kit(s) for each enrolled child are provided to you at no cost as part of the Pilot (average market value of $300–$400 per test). Kite Health does not process payments or store payment card information in connection with the Pilot, and does not bill insurance for any test or service provided under the Pilot.

6. Laboratory Services Are Provided by Independent Third Parties

OAT testing is performed by independent laboratory partners— currently MosaicDX and US BioTek. Kite Health selects the fulfilling laboratory; both children in a family are always tested by the same laboratory. Kite Health transmits your order to the laboratory, and the laboratory independently reviews and approves the order, including sign-off by its own physician of record, ships the kit, processes your child's sample under its own CLIA certification, and generates the report.

Kite Health is not responsible for, and disclaims liability for, the acts or omissions of any independent laboratory partner, including delays, processing or shipping errors, or the substance of any laboratory report, except to the extent caused by Kite Health's own breach of these Terms or applicable law. Laboratory-specific terms (including which entity owns and may retain samples) are described in Section 7.

7. Ownership of Samples, Data, and Platform Content

7.1 Physical Samples and Raw Laboratory Data

As between you and Kite Health, the urine sample your child provides, any leftover sample, extracted metabolites, raw laboratory (e.g., LC-MS) data, quality-control samples, the raw biomarker values, and thelaboratory's own report are generated and owned by the performing laboratory, subject to the laboratory's own policies and the Informed Consent Form. You may request destruction of a retained sample, and you may withdraw from future use of your child's sample and data, at any time, as described in the Informed Consent Form.

7.2 Platform Content

As between you and Kite Health, Kite Health owns the Platform dashboard, pathway scores, educational information, and the survey responses and interview recordings/transcripts you and your child provide through the Platform (collectively, "Platform Content"). Platform Content is generatedfrom, and in some cases includes, your child's personal and health information, and its use remains subject to the Informed Consent Form, Kite Health's Privacy Policy, and applicable law, including the restrictions on de-identified datause described there (for example, future use to support research, publications, or to help develop Kite Health's AI features, but not sale or third-partylicensing of identifiable data).

You grant Kite Health a non-exclusive, worldwide license to use, store, and process the information you and your child submit through the Platform to operate the Pilot, deliver results, generate Platform Content, and conduct the research activities described in the Informed Consent Form.

8. Artificial Intelligence Features

The Platform uses AI to help summarize laboratory reports. AI-generated content is provided for informational and educational purposes only, is reviewed under Kite Health's clinical oversight process before being shown to you, and is not a substitute for professional medical advice. AI-generated content may contain errors or omissions. The Platform's AI features do not provide recommendations, answer open-ended medical questions, do not retain a persistent record of conversational exchanges with you beyond what is needed to generate your report, and are not used to train general-purpose third-party AI models operated by other companies. De-identified data may be used to improve Kite Health's own AI systems, as described in the Privacy Policy.

9. Protected Health Information and HIPAA Authorization

Certain information collected through the Platform, including laboratory results, biomarker values, interpreted reports, and clinical questionnaire responses, is Protected Health Information("PHI"). Kite Health stores PHI on HIPAA-appropriate infrastructure and applies administrative, physical, and technical safeguards designed to protect it, including encryption of data at rest (AES-256) and in transit (TLS), multi-factor authentication for Platform accounts, and access and audit logging, as further described in the Privacy Policy.

By completing enrollment, you separately authorize Kite Health to: receive your child's laboratory reports from the performing laboratory; store that PHI on the Platform; display reports and interpretations to you (and, where you enroll a sibling, to that child's parent/guardian) through the Platform; and, where you separately agree, use de-identified data for the future research purposes described in the Informed Consent Form. Kite Health does not share identifiable reports with outside clinicians on your behalf unless you direct it to do so. You may revoke this authorization at any time, subject to the terms of the Informed Consent Form and Privacy Policy, by contacting contact@kitehealth.com; revocation will not affect information already used or disclosed in reliance on your prior authorization.

10. Privacy

Kite Health's Privacy Policy describes in detail what personal information and PHI is collected, how it is used and shared (including with service providers such as the performing laboratory, AWS), your rights under HIPAA, the California Consumer Privacy Act (CCPA/CPRA), the California Confidentiality of Medical Information Act (CMIA), and other applicable law, and how long information is retained. The Privacy Policy is incorporated into these Terms by reference. If there is a conflict between these Terms and the Privacy Policy regarding the handling of personal information, the Privacy Policy controls.

11. Communications

By enrolling, you agree that Kite Health may send you Platform-related and Pilot-related communications by email, including onboarding instructions, kit dispatch and delivery notices, results notifications, reminders to complete registration steps, and invitations to participate in related research activities (such as the post-pilot survey or interview). Kite Health does not send marketing newsletters or product announcements as part of the Pilot. You may opt out of non-essential communications at any time by emailing contact@kitehealth.com, but you cannot opt out of the operational communications necessary to deliver your child's results or administer the Pilot while you remain enrolled.

12. Children's Use of the Platform

The Platform is designed to be used by parents and legal guardians on behalf of their children. Children do not create their own Platform accounts, do not independently agree to these Terms, and do not submit personal information directly to the Platform; a parent or legal guardian does so on the child's behalf. This approach is intended to be consistent with the Children's Online Privacy Protection Act (COPPA).

For children ages 7–17, Kite Health also requires the enrolling parent/guardian to confirm, through the Platform, that the child's age-appropriate assent was sought using the IRB-approved assent script before any sample is collected from that child, consistent with Section 7.2 of Protocol KITE-01. If a child does not assent, that child's data will be excluded, and the sibling's participation (if any) may continue independently.

13. Withdrawal, Account Deletion, and Termination

Participation in the Pilot is entirely voluntary. You may withdraw yourself or either enrolled child from the Pilot at any time, for any reason, without penalty, by emailing contact@kitehealth.com. Withdrawal will not affect any care your family otherwise receives. Consistent with the Informed Consent Form, if you withdraw, your identifiable data will be removed from the research dataset, though Kite Health and the performing laboratory may retain limited records as required by law, for safety reasons, or to the extent already de-identified and incorporated into aggregate research findings.

You may close your Platform account and request deletion of your account data at any time by emailing contact@kitehealth.com. Kite Health may suspend or terminate your access to the Platform if you violate these Terms, provide materially false enrollment information, or if continued participation would pose a safety concern, and will make reasonable efforts to notify you if this occurs.

14. Intellectual Property

The Platform, including its software, design, text, graphics, and educational content (excluding your and your child's personal information and Platform Content described in Section 7.2), is owned by KiteHealth or its licensors and is protected by intellectual property laws. You may use the Platform only for your own family's participation in the Pilot and may not copy, reverse-engineer, or commercially exploit the Platform.

15. Disclaimer of Warranties

THE PLATFORM AND ALL RESULTS, SCORES, AND OTHER CONTENT PROVIDED THROUGH IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT, EXCEPT WHERE SUCH DISCLAIMERS ARE NOT PERMITTED BY LAW. KITE HEALTH DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY LABORATORY RESULT OR AI-GENERATED CONTENT WILL BE ACCURATE, COMPLETE, OR CLINICALLY USEFUL FOR YOUR CHILD.

16. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, KITE HEALTH AND ITS OFFICERS, EMPLOYEES, AND CLINICAL ADVISORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR OR YOUR CHILD'S USE OF THE PLATFORM OR PARTICIPATION IN THE PILOT.

Nothing in these terms limits any liability that cannot be limited under applicable law, or limits any rights you have under the Informed Consent Form or as a Human Research Subject.

Because the Pilot is provided at no cost and involves no fee paid by you, the parties acknowledge that a monetary damages cap tied to fees paid may not be an appropriate limitation here; counsel should confirm the appropriate liability framework for a no-cost research pilot before this section is finalized.

17. Indemnification

You agree to indemnify and hold harmless Kite Health from third-party claims arising out of your breach of these Terms or your provision of materially false information during enrollment, except to the extent caused by Kite Health's own negligence, willful misconduct, or breach of these Terms or the Informed Consent Form.

18. Research Oversight; Institutional Review Board

The Pilot Study has been reviewed by Sabai IRB, an independent institutional review board. Nothing in these Terms limits your right to contact Sabai IRB with questions, concerns, or complaints about the research or your rights as a study participant: (888) 265-5766 or irbteam@sabaiglobal.com. The dispute resolution process in Section 19 applies only to disputes about your use of the Platform and these Terms, and does not replace or restrict your ability to raise research-related concerns with Sabai IRB or the Principal Investigator.

19. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. Before pursuing a formal claim relating to the Platform (as opposed to a research-related concern, which should first go to the Principal Investigator or Sabai IRB per Section 18), you agree to first contact Kite Health at contact@kitehealth.com so the parties can attempt to resolve the issue informally.

20. Changes to These Terms

Kite Health may update these Terms from time to time to reflect changes to the Platform or the Pilot. If a change materially affects the nature of your or your child's participation, Kite Health will notify you and, where required by Sabai IRB, seek your re-consent through the Platform before the change takes effect, consistent with Section 7.3 of Protocol KITE-01. Continued use of the Platform after a non-material update constitutes acceptance of the updated Terms.

21. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. These Terms, together with the Informed Consent Form, Assent Script, and Privacy Policy, constitute the entire agreement between you and Kite Health regarding the Pilot and the Platform. You may not assign these Terms; Kite Health may assign these Terms in connection with a merger, acquisition, or sale of assets, subject to the data protections described in the Privacy Policy and Informed Consent Form.
